By accessing our website, placing an order, or otherwise using our services, you agree to be bound by these Terms.

2. Use of Website

3. Product Information and Availability

We make reasonable efforts to present products, descriptions, pricing, availability, photographs, and other content as accurately as possible. However, we do not warrant that product descriptions, photographs, colors, dimensions, bloom times, harvest windows, growing habits, availability, or other content are complete, current, or error-free.

Many of our products are agricultural, seasonal, living, perishable, limited-quantity, or weather-dependent in nature. Product availability may change without notice. We reserve the right to discontinue any product at any time.

Images are for illustrative purposes only. Actual plants, seeds, bulbs, produce, packaging, and related items may vary in appearance due to variety, season, maturity, growing conditions, and natural variation.

4. Orders

All orders are subject to acceptance and availability. We reserve the right to refuse, cancel, or limit any order for any lawful reason, including suspected fraud, pricing errors, inventory issues, or supply limitations.

After you place an order, you may receive an order confirmation email. This confirmation does not guarantee acceptance of your order. A contract for sale is formed only when we accept the order and begin processing it.

We reserve the right to limit quantities purchased per person, household, or order.

5. Pricing and Payment

All prices are listed in U.S. dollars unless otherwise stated. Prices, promotions, and product availability are subject to change without notice.

You agree to provide current, complete, and accurate billing, shipping, and payment information. By submitting payment information, you represent that you are authorized to use the selected payment method.

If a product is listed at an incorrect price or with incorrect information due to a typographical error, system error, supplier issue, or other mistake, we reserve the right to refuse or cancel orders placed for that product, whether or not the order has been confirmed and your payment method charged. If your payment has already been processed, we may issue a refund in the appropriate amount.

6. Shipping and Delivery

Shipping and delivery timelines are estimates unless expressly stated otherwise. We are not responsible for delays caused by carriers, weather, destination conditions, supply chain disruption, labor disruptions, governmental action, or events beyond our reasonable control.

Certain products may ship only during specific windows, seasons, or weather conditions. We reserve the right to delay shipment when, in our judgment, doing so is appropriate to protect product quality, customer outcomes, or business operations.

Risk of loss and title for products pass to you upon our delivery of the order to the carrier, except where applicable law requires otherwise.

You are responsible for providing a complete and accurate shipping address. We are not responsible for losses, delays, or additional charges caused by incorrect or incomplete shipping information.

7. Live Goods, Agricultural Products, and Growing Conditions

Gold Valley Growers sells live plants, seeds, bulbs, and other products affected by weather, climate, timing, storage, handling, customer care, soil conditions, pests, disease pressure, and other variables outside our control.

Because of the nature of these products:

  • germination, growth rate, plant size, bloom performance, fruit set, yield, color, maturity, and long-term performance may vary;
  • customer results will differ by region, weather, skill level, and growing conditions;
  • product performance is not guaranteed unless expressly stated in writing by us;
  • horticultural information we provide is general guidance only and is not a guarantee of outcome.

You are responsible for determining whether a product is suitable for your local conditions, skill level, intended use, and growing environment.

8. No Preorders

Gold Valley Growers does not currently offer preorders unless expressly stated otherwise on the website. If a product is not available for immediate purchase and fulfillment within our normal shipping workflow, it may be marked unavailable, out of stock, or removed from sale until it is ready to be offered.

9. Returns, Refunds, and Claims

Your purchase may also be governed by our separate Refund Policy, Return Policy, Live Arrival Policy, or Shipping Policy, if posted, and those policies are incorporated into these Terms by reference.

Due to the perishable, seasonal, and living nature of many of our products, not all items are eligible for return, refund, or replacement.

If you believe an item arrived damaged or incorrect, you must contact us promptly at info@goldvalleygrowers.com and provide any information we request, including photographs, packaging details, and order information. Failure to notify us within the timeframe stated in the applicable policy may result in denial of the claim.

We reserve the right to determine, in our sole but reasonable discretion, whether a refund, replacement, store credit, or no remedy is appropriate.

10. Promotions, Discounts, and Gift Cards

We may offer promotions, discount codes, gift cards, store credits, or limited-time sales. Such offers are subject to the specific terms presented with the offer and may be modified or discontinued at any time.

Promotions may not be combined unless expressly stated. Discounts have no cash value unless required by law.

11. SMS/MMS and Email Communications

By providing your email address or mobile number and opting in where required, you agree to receive transactional and, if applicable, promotional communications from us, including by email and SMS/MMS.

Promotional communications are subject to applicable law. You may unsubscribe from marketing emails by using the unsubscribe link in the email. You may opt out of SMS/MMS marketing by following the instructions in the message, including replying STOP where applicable.

Consent to receive marketing messages is not a condition of purchase. Message frequency may vary. Message and data rates may apply.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE;
  • DEFECTS WILL BE CORRECTED;
  • THE WEBSITE OR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • PRODUCTS WILL MEET EVERY CUSTOMER EXPECTATION OR PERFORM IDENTICALLY IN ALL CONDITIONS.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOLD VALLEY GROWERS LLC AND ITS OWNERS, OFFICERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, CROP LOSS, BUSINESS INTERRUPTION, OR SUBSTITUTE PURCHASE COSTS, ARISING OUT OF OR RELATED TO YOUR USE OF THE WEBSITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE WEBSITE, PRODUCTS, OR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.

You agree to defend, indemnify, and hold harmless Gold Valley Growers LLC and its owners, officers, managers, employees, agents, affiliates, and service providers from and against any claims, liabilities, damages, losses, judgments, awards, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • hurricanes, tornadoes, floods, drought, frost, heat waves, wildfire, or other natural disasters;
  • crop failure, disease outbreak, pest pressure, or agricultural loss;
  • plant or seed supplier shortages;
  • utility interruption;
  • internet or telecommunications failure;
  • labor shortages, strikes, or work stoppages;
  • carrier or freight delays;
  • fuel shortages;
  • embargoes;
  • war, terrorism, civil unrest, or public emergency;
  • epidemics, pandemics, or public health events;
  • governmental orders, quarantines, restrictions, or regulatory action;
  • fire, explosion, or casualty loss;
  • any other event or condition beyond our reasonable control.

In any such event, we may, at our option and without liability except as otherwise required by law, suspend performance, delay shipment, allocate limited inventory, substitute comparable packaging or shipping methods, cancel affected orders, or extend delivery windows for a commercially reasonable period.

Where appropriate, we may provide notice of material delay or cancellation and may offer a refund, store credit, substitute product, or other remedy at our discretion or as required by law.

18. Compliance with Law

You agree not to use or purchase our products in violation of any applicable law, regulation, or ordinance. You are responsible for understanding any local restrictions relevant to the receipt, cultivation, resale, transport, or use of products purchased from us.

22. Binding Arbitration; Class Action Waiver

Please read this section carefully. It affects your legal rights.

To the fullest extent permitted by law, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the website, any order, any product purchased from Gold Valley Growers LLC, or any relationship between you and Gold Valley Growers LLC shall be resolved exclusively by final and binding arbitration, rather than in court, except as otherwise provided below.

Arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its applicable consumer arbitration rules then in effect, unless the parties agree otherwise in writing. The arbitration shall be conducted by a single arbitrator. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, enforceability, applicability, or formation of this arbitration provision, including any claim that all or part of this provision is void or voidable, except that a court of competent jurisdiction may determine the enforceability of the class action waiver below if applicable law requires.

The arbitration may be conducted on the papers, by video conference, by telephone, or in person, as determined by the applicable rules and the arbitrator. Unless otherwise required by applicable law or the applicable arbitration rules, the seat of arbitration shall be in Connecticut.

You and Gold Valley Growers LLC agree that any arbitration shall be conducted only on an individual basis and not in a class, consolidated, collective, representative, or private attorney general action. You further agree that you waive any right to participate in or bring any such action to the fullest extent permitted by law.

Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies and remains on an individual, non-class basis. Either party may also seek temporary, preliminary, or injunctive relief in a court of competent jurisdiction as necessary to protect intellectual property, confidential information, or other rights pending completion of arbitration.

If any part of this arbitration provision is found unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law. If the class action waiver is found unenforceable as to any particular claim or request for relief, then that claim or request for relief shall proceed in a court of competent jurisdiction and not in arbitration, but only to that extent.

BY AGREEING TO THESE TERMS, YOU AND GOLD VALLEY GROWERS LLC WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, EXCEPT TO THE EXTENT SUCH WAIVER IS PROHIBITED BY LAW.

23. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

24. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

25. Changes to These Terms

We may update these Terms from time to time by posting a revised version on this website and updating the “Last Updated” date above. Your continued use of the website after changes are posted constitutes your acceptance of the revised Terms, to the extent permitted by law.
